2. SCOPE, APPLICABILITY & CONTRACTUAL HIERARCHY
2.1 Scope of application These Terms & Conditions govern all services and products contracted with The Hiwat Group Sociedad Limitada, unless explicitly agreed otherwise in writing.
They apply, without limitation, to: – digital content, online programmes, subscriptions, and cohort-based education (THG Academy) – consultancy, advisory, and coaching services provided by THG SL – creative and intellectual services provided by THG SL
Services delivered by other legal entities, including but not limited to THG Netherlands BV, are expressly excluded and governed by their own terms.
2.2 Contractual hierarchy Where a signed agreement, statement of work, engagement letter, or other written contract conflicts with these Terms & Conditions, the signed document shall prevail.
3. PRICES, PAYMENTS & CURRENCY
3.1 Currency All prices are stated and charged in EUR, unless expressly agreed otherwise.
3.2 Third-party fees Currency conversion, exchange rate differences, and bank or payment provider fees imposed by third parties are not the responsibility of THG SL.
4. DIGITAL CONTENT, PROGRAMMES & SUBSCRIPTIONS
The provisions of this Chapter apply exclusively to digital content, online programmes, subscriptions, lifetime access offerings, and cohort-based education delivered under THG Academy.
4.1 Refunds Digital content, online programmes, and subscriptions are non-refundable once access has been granted or the content has been delivered, except where mandatory consumer protection law applies.
Force majeure events, including but not limited to war, natural disasters, infrastructure failures, or third-party platform outages, do not constitute grounds for refunds.
4.2 Subscriptions & platform availability Subscriptions renew automatically unless cancelled prior to the renewal date.
Lifetime or extended access offerings are dependent on the continued availability of third-party platforms. Unless there is a verified disruption exceeding seven (7) consecutive days, no refunds, credits, or extensions shall be granted.
In the case of time-bound or cohort-based programmes, temporary disruptions may be remedied through rescheduling, alternative delivery, or equivalent replacement sessions at the discretion of THG SL. Such remedies constitute the client’s sole and exclusive remedy.
4.3 Intellectual property & usage All Academy materials are provided for the personal, non-transferable use of the registered participant only. Sharing, redistribution, sublicensing, or commercial exploitation is prohibited.
THG SL reserves the right to suspend or terminate access in the event of misuse or breach of these Terms.
4.4 Services involving minors Where services, programmes, or digital products are accessed or used by minors, such access shall occur exclusively under the supervision, responsibility, and authority of a parent, legal guardian, school, or other authorised institution.
The contracting party is always the parent, legal guardian, school, or institution, not the minor. Any consent, acceptance of these Terms, or contractual commitment must be provided by the legally responsible adult or entity.
THG SL does not provide services directly to minors on a standalone contractual basis and assumes no parental, custodial, educational, or supervisory responsibility beyond the scope expressly agreed with the responsible adult or institution.
5. PROFESSIONAL SERVICES
5.1 Nature and standard of service THG SL undertakes to perform consultancy and advisory services with professional diligence and care, using suitably qualified personnel.
Consultancy and coaching services are advisory, developmental, and reflective in nature only. Any views, analyses, guidance, questions, frameworks, or recommendations provided by THG SL are non-binding and do not constitute instructions, directives, therapy, counselling, medical advice, legal advice, or substitute decision-making.
THG SL does not act as a fiduciary, manager, officer, representative, therapist, or healthcare provider of the client.
Clients retain full responsibility for: – evaluating advice received – making decisions based on that advice – implementing any recommendations – ensuring regulatory, legal, financial, and operational compliance within their organisation
5.2 Information dependency and client obligations THG SL relies on information, data, and representations provided by the client. The client is responsible for ensuring that all information supplied is accurate, complete, and timely.
THG SL shall not be liable for delays, errors, omissions, or adverse outcomes arising from incomplete, inaccurate, or late information provided by the client, or from the client’s failure to promptly notify THG SL of known or suspected errors, changes, or relevant circumstances.
5.3 Scope limitation and change control THG SL’s obligations are strictly limited to the scope of services expressly agreed in writing. No duty exists beyond the agreed scope, and any extension or modification of services must be confirmed in writing.
5.4 Remediation and opportunity to cure Where a service is alleged to be defective or incomplete, THG SL must be notified in writing without undue delay and given a reasonable opportunity to remedy the issue.
Unless otherwise agreed, such remediation shall be provided at no additional cost where the issue is attributable to THG SL, or at cost where the issue arises from changes, clarifications, or additional input required due to client-provided information or circumstances.
5.5 No guarantees Consultancy and advisory services are provided on a best-efforts basis. THG SL does not guarantee specific outcomes, results, or commercial success.
5.6 Limitation of liability To the maximum extent permitted by law, THG SL’s total aggregate liability arising out of or in connection with consultancy services, whether in contract, tort, or otherwise, shall be limited to the total fees actually paid by the client for the specific engagement giving rise to the claim.
THG SL shall not be liable for indirect, incidental, special, or consequential losses, including loss of profits, loss of business, loss of opportunity, or loss of anticipated savings.
6. CREATIVE SERVICES (INCLUDING DIGITAL PRODUCTS)
6.1 Nature of creative services Creative services include, without limitation, concept development, design, narrative, digital products, tools, and creative outputs delivered by THG SL.
Unless expressly agreed otherwise in writing, creative services do not constitute regulated advice, financial advice, legal advice, or technical guarantees.
6.2 Deliverables & interpretation Creative outputs are interpretative by nature. Variations in perception, application, or implementation do not constitute defects or non-performance.
7. THIRD-PARTY SOFTWARE, PLATFORMS & DEPENDENCIES
7.1 Third-party reliance THG SL may rely on third-party software, platforms, or integrations in the delivery of its services.
While reasonable safeguards are maintained, THG SL is not liable for failures, interruptions, delays, or losses caused solely by third-party providers.
7.2 Business interruption THG SL shall not be liable for business interruption, loss of revenue, loss of opportunity, or indirect or consequential damages arising from third-party platform unavailability.
8. AI-ASSISTED CONTENT & USE OF TECHNOLOGY
8.1 AI usage THG SL may use artificial intelligence tools as an assistive aid in drafting, reviewing, or preparing materials.
All outputs remain subject to human oversight, and THG SL retains full responsibility for final deliverables.
9. DATA PROTECTION
9.1 Compliance THG SL complies with the EU General Data Protection Regulation (GDPR) and Spanish Organic Law 3/2018.
9.2 Retention Personal data is retained only for as long as legally or operationally necessary, including: – four (4) years for tax-related records – six (6) years for commercial records

10. GOVERNING LAW, JURISDICTION & DISPUTE RESOLUTION
10.1 Governing law These Terms & Conditions, and any contractual or non-contractual obligations arising from them, are governed exclusively by Spanish law.
10.2 Jurisdiction — business clients For clients acting in the course of business or professional activity, exclusive jurisdiction lies with the courts of Valencia, Spain.
10.3 Jurisdiction — consumer clients For clients qualifying as consumers, jurisdiction shall be determined in accordance with mandatory EU consumer protection rules. The governing law of the contract remains Spanish law.
10.4 Dispute resolution & escalation Any dispute shall first be raised with THG SL via [email protected] in an attempt to resolve the matter amicably.
Where resolution is not achieved, the parties may, by mutual agreement, seek mediation or alternative dispute resolution. Participation is voluntary and does not restrict access to the courts.
